01Agreement to these terms
These Terms of Service (“Terms”) govern your use of umbrellamarketingai.com and services provided by Monica Saldana, doing business as Umbrella Marketing AI (“Umbrella,” “we,” “us,” or “our”). By accessing the website, creating an account, approving a proposal, or purchasing or using a service, you agree to these Terms.
If you use Umbrella for a business or organization, you represent that you have authority to bind that organization. A signed proposal, statement of work, service agreement or order may include additional terms. If there is a conflict, the signed agreement controls for that engagement.
02Services and project scope
Umbrella provides AI-assisted marketing strategy, lead generation, social media, email marketing, websites, chatbots, content and creative services, automation, analytics, Amazon-related marketing and other agreed services. The specific scope, deliverables, timing, revisions and fees are defined in the applicable proposal, order or project record.
Estimates, recommendations and projected timelines are based on the information and access available when they are provided. Scope changes, delayed feedback, missing access, platform reviews or third-party limitations may change timing or cost.
03Client responsibilities and approvals
You agree to provide accurate information, timely feedback, lawful materials, necessary permissions and appropriate access to accounts or platforms. You are responsible for reviewing names, claims, prices, discount codes, dates, links, disclosures, trademarks, factual statements and final deliverables before approval or publication.
Where Umbrella provides an approval workflow, no content should be treated as finally approved until the authorized client approver confirms it. You remain responsible for business decisions, offers, inventory, customer service, legal compliance and content published through accounts you own or control.
04AI-assisted work
Umbrella may use artificial intelligence and automation to research, draft, analyze, personalize, organize or quality-check work. AI output can contain errors, omissions, similarities to existing material or outdated information. We apply human strategy and review, but we do not guarantee that AI-assisted output will be error-free, unique or suitable for every purpose.
You must not rely on Umbrella or its AI features as a substitute for legal, financial, medical, tax or other licensed professional advice. Material claims should be independently verified before use.
05Accounts, credentials and connected platforms
You are responsible for protecting your account credentials and promptly reporting suspected unauthorized access. Do not send passwords, one-time codes or payment credentials through ordinary chat or project fields. When possible, use official authorization or OAuth tools to connect accounts.
Publishing, advertising, analytics and automation may depend on third-party platforms such as Meta, Instagram, Facebook, TikTok, Pinterest, Amazon, email providers and website hosts. Their rules, reviews, availability and technical changes are outside Umbrella’s control. We do not guarantee approval, reach, account standing, uninterrupted integrations or continued availability of any third-party feature.
06Fees, billing and cancellation
Fees, payment schedules, included revisions and cancellation terms are stated in the applicable proposal, order or agreement. Unless otherwise stated in writing, invoices are due when presented and work may pause while an account is overdue.
Third-party software, advertising spend, platform fees, licensing, stock assets, printing, postage and similar external costs are not included unless expressly stated. Completed work, reserved production time and nonrefundable third-party costs may remain payable after cancellation to the extent described in the applicable agreement.
07Intellectual property
You retain ownership of materials you provide and grant Umbrella a limited license to use them to perform the requested services. You represent that you have the necessary rights and permissions for all submitted materials.
After full payment, rights in final custom deliverables are transferred or licensed as stated in the applicable agreement. Umbrella retains ownership of its pre-existing tools, systems, templates, methods, prompts, workflows, code, general know-how and reusable components. Third-party assets, fonts, software, platform content and AI-provider materials remain subject to their own licenses and restrictions.
08Affiliate links and promotional claims
Umbrella or its clients may use affiliate links and may earn commissions from qualifying purchases, including through the Amazon Associates program. Required affiliate disclosures must remain clear and visible. Product availability, prices, discounts and promotion dates can change without notice.
Clients and sellers are responsible for ensuring that promotional claims, product details, coupons, inventory and offers are truthful, authorized and current. Umbrella may pause or reject content that appears inaccurate, expired, misleading, unlawful or inconsistent with platform policies.
09Acceptable use
You may not use the website or services to violate law; infringe intellectual-property or privacy rights; distribute malware; obtain unauthorized access; impersonate others; manipulate reviews or engagement; send unlawful or deceptive communications; promote prohibited products; or create discriminatory, exploitative, fraudulent or harmful campaigns.
We may suspend access or decline work when reasonably necessary to protect people, systems, clients, platforms or Umbrella.
10Disclaimers and results
Except as expressly stated in a signed agreement, the website and services are provided “as is” and “as available.” To the fullest extent permitted by law, Umbrella disclaims implied warranties of merchantability, fitness for a particular purpose and noninfringement.
Marketing outcomes depend on many factors outside our control, including your offer, pricing, market, budget, competition, customer response, platform algorithms and execution. We do not guarantee sales, revenue, leads, rankings, followers, engagement, approvals or any particular business result.
11Limitation of liability and indemnity
To the fullest extent permitted by law, Umbrella will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill or business opportunities arising from the website or services. Umbrella’s aggregate liability relating to a claim will not exceed the amount you paid Umbrella for the specific service giving rise to the claim during the three months before the event, or $100 if you paid nothing.
You agree to defend, indemnify and hold Umbrella and Monica Saldana harmless from claims, losses and reasonable costs arising from materials you provide, your products or services, your violation of these Terms, your unlawful conduct, or your infringement of another person’s rights. Nothing in these Terms excludes liability that cannot legally be limited.
12Termination
You may stop using the website at any time. Either party may end a service relationship as provided in the applicable agreement. We may suspend or terminate access for nonpayment, security risk, unlawful activity, material breach or misuse.
Provisions that by their nature should survive termination—including payment obligations, intellectual-property provisions, disclaimers, liability limits, indemnity and dispute terms—will remain in effect.
13Utah law and disputes
These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law principles. Before filing a claim, each party agrees to make a good-faith effort to resolve the issue informally by written notice and at least 30 days for discussion.
Unless a signed agreement states otherwise, any legal action must be brought in a state or federal court with jurisdiction in Utah County, Utah, and each party consents to that venue and jurisdiction. You and Umbrella waive any right to participate in a class or representative action to the extent permitted by law.
14Changes and contact
We may update these Terms to reflect changes in services, technology or law. The effective date above identifies the latest version. Material changes will apply prospectively, and continued use after they take effect means you accept the revised Terms.
